1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your enrollment in and use of the Wellvera Wellness+ membership program (the "Program"), offered by Wellvera Health ("Wellvera," "we," "us," or "our"). The Program provides members with access to virtual primary care services and, where clinically appropriate, medical weight management services delivered through Wellvera's affiliated licensed healthcare providers.

By enrolling in the Program, submitting payment, or using any Wellvera service, you ("Member," "you," or "your") agree to be bound by these Terms, Wellvera's Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, do not enroll in or use the Program.

Wellvera Health is a telehealth practice. Clinical services are provided by Victoria Kennedy, MSN, FNP-C, a licensed Family Nurse Practitioner, and/or other appropriately licensed providers affiliated with Wellvera, operating within the scope of their license in the state where you are located at the time of your visit.

2. Eligibility

To enroll in the Program, you must:

  • Be at least 18 years of age;
  • Be physically located in a state where Wellvera is licensed to provide care at the time of each visit, currently: Alabama, Colorado, Florida, Iowa, Massachusetts, New York, Utah, and Vermont. This list is subject to change with or without notice.
  • Provide accurate, current, and complete information during enrollment and keep that information up to date; and
  • Have the legal capacity to enter into a binding agreement.

Wellvera reserves the right to decline enrollment, discharge a Member, or decline to provide a particular service if, in the clinical judgment of the provider, the Program or a specific treatment is not appropriate or safe for you.

3. Program Membership Tiers and Pricing

Wellvera Wellness+ is offered in the following tiers. Current pricing is also available at wellvera-health.com and supersedes any conflicting figure in a prior communication.

Plus $80/month Everything in Base, plus member pricing on medical weight loss and peptide services and one annual lab panel.
Premier $100/month (up to 4 members; $10/mo per additional member) Everything in Plus, plus enhanced member pricing and a second annual lab panel.

Medical weight loss medications (including compounded semaglutide and tirzepatide) and any peptide therapies are billed separately from the monthly membership fee and are itemized independently on your invoice. Membership in the Program does not itself include these medications; it provides member pricing and access to them where clinically indicated.

4. Billing, Auto-Renewal, and Payment

Membership fees are billed monthly in advance on a recurring basis to the payment method you provide at enrollment. By enrolling, you authorize Wellvera to charge your payment method automatically each billing cycle until you cancel in accordance with Section 5.

  • Membership fees renew automatically each month unless canceled prior to the next billing date.
  • Additional services, including medications, lab panels beyond your plan's included allotment, and add-on visits, are billed separately at the time the service or medication is provided or shipped.
  • If a payment fails, Wellvera may retry the charge, suspend access to Program benefits, and/or place your account on hold until payment is resolved.
  • Prices are subject to change. Wellvera will provide reasonable advance notice of any price change to the recurring membership fee, and continued use of the Program after the effective date of a price change constitutes acceptance of the new price.

Payment assistance plans may be available for qualifying Members. Contact Wellvera to inquire about eligibility; approval is at Wellvera's discretion.

5. Cancellation and Refunds

You may cancel your Program membership at any time by contacting Wellvera. Cancellation will take effect at the end of your current billing cycle; you will retain access to Program benefits through that period, and no partial-month refund will be issued for the then-current cycle unless required by applicable law.

Membership fees already charged are generally non-refundable once the billing cycle has begun, except where required by law or where Wellvera determines a refund is appropriate in its sole discretion. Medication orders that have already been processed, compounded, or shipped by Wellvera's pharmacy partners are non-refundable and non-cancelable once fulfillment has begun, consistent with pharmacy partner policy.

Wellvera may suspend or terminate your membership for non-payment, misuse of the Program, provision of false information, or conduct that a provider determines poses a safety risk.

6. Nature of Services and No Guarantee of Results

The Program provides access to virtual primary care and, where appropriate, medical weight management services. All clinical decisions, including whether to prescribe any medication, are made solely by your treating provider based on an individualized clinical evaluation. Enrollment in the Program does not guarantee that any particular medication, treatment, or service will be prescribed or provided to you.

Wellvera does not guarantee any specific health outcome, including weight loss results, and does not make claims of guaranteed results. Individual results vary based on numerous factors outside Wellvera's control, including a Member's adherence to a treatment plan, underlying health conditions, and lifestyle factors.

Victoria Kennedy, MSN, FNP-C, is a licensed Family Nurse Practitioner and is not a physician. References to "your Wellvera provider" may include Victoria Kennedy or other appropriately licensed clinicians affiliated with Wellvera.

7. Fair Use and Program Misuse

Asynchronous messaging and visit access under the Program are intended for legitimate, medically necessary care. Wellvera provides this access in good faith and expects Members to use it accordingly.

  • Wellvera may review usage patterns and, in its clinical or administrative judgment, flag, limit, or restrict access for a Member whose messaging or visit frequency is excessive, not medically necessary, or inconsistent with the purpose of the Program (for example, repeated same-day messages or visits regarding the same non-urgent issue after it has already been addressed).
  • If a Member's reported symptoms or usage pattern suggest a condition that requires a higher level of care than virtual primary care can safely provide, Wellvera may require the Member to seek in-person evaluation or emergency care, and may pause non-urgent Program services until that evaluation occurs.
  • The Program may not be used to seek controlled substances or other medications through misrepresentation of symptoms, omission of relevant medical history, doctor-shopping, or repeated requests for a medication or dosage after a Wellvera provider has declined to prescribe it.
  • Membership is for the use of the individual Member (or, under the Premier tier, the specific household members enrolled on that membership). Sharing your account, login credentials, or medications with any other person is prohibited.

Wellvera reserves the right to suspend or terminate a membership for conduct described in this Section, in addition to any other rights under Section 5.

8. Telehealth Disclosures and Limitations

Services are delivered exclusively through telehealth (audio, video, and/or secure asynchronous messaging). Telehealth has inherent limitations compared to an in-person examination, including the inability to perform certain physical exams, imaging, or in-person diagnostic testing. Your provider may determine that your condition requires in-person evaluation, and in that case will refer you to an appropriate in-person provider.

Telehealth is not appropriate for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Wellvera is not equipped to respond to emergencies.

9. Prescriptions and Compounded Medications

Where clinically appropriate, your Wellvera provider may prescribe medication, which may be filled through Wellvera's licensed 503A compounding pharmacy partners, including Rush Pharmacy. Compounded medications, including compounded semaglutide and tirzepatide, are not approved by the U.S. Food and Drug Administration (FDA). Compounded medications are prepared for an individual patient pursuant to a valid prescription and are not subject to the same FDA review process as manufactured, FDA-approved drug products.

Medications are shipped directly to you by the pharmacy partner. You are responsible for reviewing all medication guides, storage instructions, and administration instructions provided with your prescription and for promptly reporting any adverse reaction to your provider.

10. Communications Consent

By enrolling, you consent to receive appointment reminders, account, and billing communications from Wellvera by email, text message (SMS), and/or phone, using the contact information you provide. Message and data rates may apply for SMS. You may opt out of non-essential marketing communications at any time; you cannot opt out of essential account, billing, or clinical communications while your membership is active.

11. Privacy and Medical Records

Wellvera collects, uses, and protects your personal and health information in accordance with its Privacy Policy and applicable law, including HIPAA. Your medical records are maintained in Wellvera's electronic medical record system and are handled in accordance with applicable state and federal privacy and recordkeeping requirements. 12. Limitation of Liability

To the fullest extent permitted by applicable law, Wellvera, its owners, employees, contractors, and affiliated providers will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Program, even if advised of the possibility of such damages. Nothing in these Terms limits liability for gross negligence, willful misconduct, or any liability that cannot be limited under applicable law, including as it relates to the standard of clinical care.

13. Changes to These Terms

Wellvera may update these Terms from time to time. The "Last Updated" date at the top of this document reflects the most recent revision. Material changes will be communicated to active Members through the contact information on file. Continued use of the Program after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except where state-specific telehealth or consumer protection law requires application of the law of the state where a Member is located at the time of service.
